At Wellhana, we are dedicated to providing innovative digital solutions that help businesses and their employees thrive. We value our customers and want to ensure a positive, secure, and impactful experience for everyone who uses our products.
These Terms of Service ("Terms") are designed to clearly outline the expectations and responsibilities for both Wellhana and our customers. By using our products, you agree to these Terms, so please take a moment to review them carefully.
1. Acceptance of Terms By accessing, purchasing, or using Wellhana's digital products ("Products") or services ("Services"), you ("Customer") agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not use the Products or Services.
2. License Grant and Usage Limits Subject to payment of applicable fees, Wellhana grants Customer a non-exclusive, non-transferable, revocable license to provide access to the Product solely to the specific number of employees ("Authorized Users") for which fees have been paid.
Restrictions: Customer may not:
(a) Allow access to the Product by more than the purchased number of Authorized Users.
(b) Resell, sublicense, rent, lease, or share the Product with any third party outside of the Customer’s organization.
(c) Place the Product on a network server, intranet, or learning management system (LMS) where it can be accessed by users in excess of the purchased seat count.
(d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Product.
(e) Use the Product or its content to train any artificial intelligence or machine learning models.
(f) Remove or modify any copyright, trademark, or other proprietary notices contained in the Product.
(g) Fair Usage of Coaching and Support Services
Certain Services (including but not limited to 1:1 coaching and direct expert support) are designed to provide meaningful, high-quality support for all Authorized Users.
These Services are intended for reasonable individual use as part of the overall program experience. Most employees use them occasionally for guidance, questions, or specific situations.
To ensure consistent availability and quality for everyone, Wellhana may reasonably manage scheduling and access if usage significantly exceeds typical individual patterns.
Organizations that require higher-volume or dedicated support can access expanded service options, including additional 1:1 coaching.
This is not intended to restrict normal use, but to maintain a high-quality experience for all participants.
3. Payment, Delivery, and Refunds
Payment: Customer shall pay the price for the Product as indicated at the time of purchase.
Delivery Definition: Delivery of the Product is deemed complete and successfully performed at the time Wellhana transmits the login credentials, invitation link, or digital file(s) to the email address provided by Customer at checkout. Wellhana is not responsible for delivery failures caused by incorrect email addresses, spam filters, corporate firewalls, or Customer's failure to access the provided email account.
Refunds: Returns and refunds are governed by our Refund Policy, available on our website. Wellhana reserves the right to modify its Refund Policy at any time, and the terms applicable to any specific purchase shall be those in effect at the time of such purchase.
4. Ownership and Intellectual Property Wellhana retains all ownership and intellectual property rights in the Products and Services, including all copyrights, trademarks, trade secrets, and other proprietary rights. Customer acknowledges that it acquires no ownership rights in the Product by virtue of these Terms.
Feedback License: If Customer or its employees provide any suggestions, feedback, or improvements regarding the Product ("Feedback"), Customer hereby grants Wellhana a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback for any purpose, without any obligation to compensate Customer.
Third-Party Trademarks The names and logos of third-party products and companies shown on the website and used in the Products (including but not limited to Google Sheets, Microsoft Excel, and Adobe PDF) are the property of their respective owners and may also be trademarks. Wellhana is an independent entity and is not endorsed by, directly affiliated with, maintained, authorized, or sponsored by these trademark holders.
5. Warranty Disclaimer & Professional Advice Disclosure THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Professional Advice Disclaimer: The Products and Services are for informational and educational purposes only and do not constitute professional advice.
Financial Matters: Wellhana is not a financial planner, broker, or investment advisor. Content regarding finance is not a substitute for professional financial, legal, or tax advice.
Health & Wellness: Wellhana is not a medical provider. Content regarding fitness, nutrition, or mental health is not a substitute for professional medical advice, diagnosis, or treatment.
General Educational Scope: For all other topics (including but not limited to productivity, career development, or leadership), the content is provided as general guidance only.
No Guarantee of Results: Wellhana does not guarantee that Customer or its Authorized Users will achieve any specific results, earnings, savings, health improvements, or business outcomes from the use of the Product. Success depends on various factors, including individual effort and background. Past performance or examples used in marketing are not indicative of future results.
The Customer and its employees are solely responsible for their own decisions and actions. Wellhana expressly disclaims any liability for any losses, injuries, damages, or lack of results arising from the use of the Product.
6. Limitation of Liability IN NO EVENT SHALL WELLHANA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR OTHER PECUNIARY LOSS) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF WELLHANA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Wellhana's total cumulative liability to Customer for any claim arising out of or in connection with these Terms shall not exceed the amount actually paid by Customer for the Product during the twelve (12) months preceding the claim.
7. Indemnification Customer agrees to indemnify, defend, and hold harmless Wellhana, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Customer's use of the Product, violation of these Terms, or violation of any rights of a third party.
8. Audit Rights Wellhana reserves the right to reasonably request a report of the number of users accessing the Product to ensure compliance with the purchased seat count. If usage exceeds the number of purchased licenses, Customer agrees to pay for the additional users at Wellhana’s then-current standard rates.
9. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
10. Entire Agreement These Terms constitute the entire agreement between Wellhana and Customer with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
